Respondent No.1, Ashiesh Shukla, a consultant holding 1480 shares (0.05%), was not a signatory to the MoS but was listed in Schedule 2 and, as contemplated by the MoS, executed a Share Purchase Agreement on 09.05.2022 whose recitals expressly referred to the MoS and to the proportionate share of the Rs.8 crore settlement amount paid to him.…
